I/We accept, understand and agree to comply with the following Terms and Conditions for registration and using of BSE Direct Platform (“the Platform”) for participating in the Non-competitive Bidding in the auction of the Government of India Dated Securities (G-Secs) and Treasury Bills (T-Bills) and or any other securities (herein collectively called as “Securities”) on BSE Ltd and will be cleared by Indian Clearing Corporation Limited (“ICCL”)

I /We, being an investor as defined in the Circular dated November 23, 2017 issued by Reserve Bank of India (“RBI”), as amended from time to time, understands and agrees that;

1. RBI has permitted specified stock exchanges to act as aggregator/ facilitator to inter alia aggregate the bids received from the investors.

2. BSE Ltd is permitted by RBI to act as facilitator and accordingly, intends to provide a Platform for participating in the non-competitive bidding of securities, to the eligible investors.

3. I/We are eligible to place the bid on the Platform and are in compliance of the Terms and Conditions of BSE Ltd (“BSE”) in this regard and the framework prescribed by RBI.

4. The provision of the facility by BSE for providing the Platform is entirely at the sole discretion of BSE and BSE shall be entitled to discontinue the same without assigning any reasons, which shall be final and binding.

5. I/We shall ensure strict compliance at all times with the requirements/guidelines specified by RBI / Securities And Exchange Board of India (“SEBI”) / BSE, and such other requirements as may be specified by any other regulatory/statutory authority or BSE, by way of directions, notifications, guidelines, circulars, regulations etc from time to time and I/We shall at all times solely be liable for compliance and continuous adherence with the provisions prescribed under the Prevention of Money Laundering Act, 2002 (as amended from time to time) for the transaction entered into by the Investor on the Platform.

6. I/We shall abide by the registration procedure prescribed by BSE from time to time for the purpose of participating on the Platform for the purpose of bidding in the Securities.

7. I/ We will be liable and pay the funds for the bids placed on the Platform only from the bank account(s) which is linked with the demat account with the recognized Depository and such funds are my/our own funds. I/We shall transfer the funds for the bids placed by me / us on the Platform to the designated Indian Clearing Corporation Ltd (“ICCL”) account only, which is acting for and on behalf of BSE. The funds deposited with ICCL shall be verified with the bids submitted by me/us on the Platform. I/ We agree that if such bids are found invalid by ICCL then ICCL and BSE shall cancel such bids and the payment made by us shall be refunded back to bank account through which the funds were received by ICCL. In case of funds paid by us are less than auction price, I/ we agree to transfer the excess amount to ICCL's account.

8. I/We agree that BSE shall be entitled to charge such fees, deposits, transaction charges, taxes, duties, regulatory levies, expenses, reimbursements or such other charges from time to time.

9. I/We shall execute, sign and subscribe to such documents, papers, agreements, covenants, bonds and/or undertakings as may be required by BSE or any other regulatory/statutory authority from time to time in connection with my/our participation on the Platform.

10. That I/We understand and agree to abide by the disclaimer/warranties/intellectual property rights provided for while accessing the Platform from time to time.

11. I/We hereby confirm that Know Your Client (“KYC”) details / documents submitted by me / us to the Exchange shall be considered for the purpose of participating on the Platform for the purpose of bidding in the Securities.

12. Alternatively, I/We hereby grant consent and authorize BSE to fetch my/our Know Your Client (“KYC”) details from the relevant KYC registration agencies (KRAs) based on the details provided by me / us for the purpose of participating in the bidding in the Securities through the Platform.

13. I/We understand that the KYC details submitted to BSE are for validation and only after such validation is completed, BSE may permit me / us to participate through the Platform subject to compliance with all the requirements.

14. I/We hereby confirm that the requirements pertaining to KYC, at all time, shall be complied with while using the Platform.

15. I/We undertake that I/We shall not use the Platform if the requirements pertaining to KYC is not complied.

16. I/We shall be responsible for accuracy/veracity of the information uploaded by me/us for the purpose of using the Platform.

17. I/We undertake to keep BSE informed about the person authorized to bid, shall further inform BSE about change in authorized person accessing the bidding facility and that BSE shall not be accountable for any misuse or unauthorized access to the Platform.

18. I/ We shall not disclose, reveal, publish and advertise any material information relating to operations, membership, software, hardware, etc. of BSE without prior written consent of BSE except and to the extent as may be required in the normal course of business and in terms of law.

19. BSE shall neither be liable to me/us or any other person(s) nor responsible regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity, or for any delay or interruption, or for any claims or losses arising therefrom or occasioned thereby at the time of using the Platform.

20. BSE shall not be liable to preserve any documents or details vis-a-vis the bids entered through the facility.

21. We further represent and warrant to BSE that:
a) the acceptance and submission of these Terms and Conditions and the usage of the Platform by me / us contemplated hereby have been duly authorized by all necessary corporate or other actions;
b) the acceptance and submission of these Terms and Conditions does not constitute breach of our charter documents or, any agreement, arrangement or understanding, oral or written, entered into by us with any third party;
c) the acceptance and submission by me / us of these Terms and Conditions does not violate any statute, law, regulation, rule, order, decree, injunction or other restriction of any governmental entity, court or tribunal to which we are subject;
d) I/We shall conduct business at BSE prudently and shall ensure that it will not be prejudicial or detrimental to public interest in general, and to BSE in particular;
e) I/we have obtained all necessary approvals, consents, sanctions or authorizations required to accept, submit and perform these terms and conditions and no other approvals, consents, sanctions or authorizations of any regulatory authority or any other person are required to be obtained by us for the submission and acceptance of these Terms and Conditions;
f) The information or data provided by me/us for the purpose of bidding is true and correct and undertake to provide information as sought by BSE from time to time


22. That I/We shall neither use the infrastructure nor the facilities provided by BSE for any other purpose other than those mentioned herein.

23. I/ We agree that BSE/ ICCL shall not be responsible for any incorrect and incomplete information/ KYC, invalid bids, fund shortage or any other transactional failure arising out of my/our participation in the Platform. I/ We agree that BSE/ ICCL shall not be responsible for failure in timely refund to our bank account due to third parties' deficiency in service.

24. Notwithstanding any other provisions of these Terms and Conditions, BSE has the right to withdraw our access to the Platform for breach of these terms and conditions or the regulatory framework prescribed by RBI/SEBI/BSE from time to time or if it is detrimental to the interest/reputation of BSE or any direction issued by SEBI/RBI/BSE. BSE has a right to impose penalties or fines or such other charges on us for violation of these terms and conditions and relevant regulatory framework.

25. BSE reserves the right to add, modify or amend the applicable regulatory framework and we agree to abide by the same.

26. I/We agree to maintain and make available for inspection and/or investigation such books of accounts, documents, information, and reports as may be required by the BSE from time to time and in accordance with the regulatory framework pertaining to transaction on the Platform.

27. BSE does not make any representation or provide any warranty, expressed or implied and does not provide any advice in relation to investment made, solicit or recommend or guarantee any transaction, allotment of securities or related negotiation, potential or otherwise, in connection with any auction/bidding on the Platform. I/ We, by virtue of using the Platform, site or software systems, shall not be deemed, construed or believed to be in compliance with various statutory, legal, regulatory and other requirements by the parties to any issue by virtue of such issue being cleared or approved by.

28. I/We hereby ensure to comply with all the duties, obligations and honour the commitment(s) in the manner as prescribed by RBI/BSE/SEBI.

29. BSE shall provide the facility on best effort basis and shall neither be responsible nor warrant that the facility will be uninterrupted or free of any error, omission, defect, shortcoming or technical/system limitation of any nature.

30. BSE's obligation shall be limited to providing a platform for bidding in the Securities and nothing herein contained shall constitute an obligation on the part of BSE to ensure that any particular security or any type or quantity of securities is available for participation in the Platform affected by us. The obligations of BSE will be limited to provision of the Platform to me/us and curing defects, if any, on the Platform. BSE/ICCL shall not be liable for any losses, liabilities, damages incurred by me/us in relation to the Platform, other than in case of breach of any obligations or warranties including loss or damages arising out of gross negligence, fraud, willful default, misconduct and/or misrepresentations on the part of BSE/ ICCL

31. I/We am/are aware that an investor can make only one bid in an auction and therefore I/we undertake to abide by the same.

32. I/We shall, indemnify, defend or at its option settle and hold BSE/ICCL free and harmless from and against including but not limited to any and all losses, liabilities, claims, actions, costs and expenses, including reasonable attorneys' fees and court costs, relating to, resulting from or in any way arising out of a breach or material breach of any of our representations, warranties or obligations contained herein including loss or damage arising out of our willful misconduct or negligence.

33. I/We understand that any communication sent or circular published by BSE shall be deemed to have been properly delivered or served, if in case of a circular, the same is published on the BSE website and in case of a communication, the same is sent to our ordinary business/email address and/or ordinary place of residence and/or last known address, in any one or more of the following ways:
a) by post, registered post, speed post or courier;
b) by affixing it on the door at the last known business or residential address;
c) by advertising it in at least one prominent daily newspaper having circulation in the area where our last known business/residential address is situated;
d) by sending a message through the Platform;
e) by electronic mail, fax or such other electronic mode as may be prescribed by BSE from time to time; and by hand delivery.
Any communication sent by us to BSE shall be made in any one or more of the following ways:
f) by post (registered or speed) or courier;
g) by electronic mail or fax; and
h) by hand delivery.

34. I/ We agree that I/we am/ are not entitled to assign our obligations arising on acceptance of these Terms and Conditions or any part thereof or any benefit or interest to any third-party entity without the prior written consent of BSE.

35. I/ We concur that the usage of the Platform and these Terms and Conditions shall be governed by and construed in all respects in accordance with the laws of India and courts of Mumbai shall have exclusive jurisdiction. In relation to any legal action or proceedings to enforce these Terms and Conditions, the disputes shall be referred to and finally settled by arbitration in accordance with the provisions of Arbitration and Conciliation Act, 1996 as amended from time to time and the seat of arbitration shall be Mumbai.

36. I/ We understand and agree that these Terms and Conditions shall become effective and binding upon us from the date of our clicking “Submit/ Accept” and with immediate effect and we shall be eligible to participate in the Platform from such date as BSE permits us to participate, subject to the terms and conditions as prescribed by BSE from time to time.

I/ We hereby declare that we have read and understood the Terms and Conditions contained hereinabove and agree to abide by the same at all times.

With reference to DECLARATION REGARDING NON-REGISTRATION UNDER CGST/ SGST/ IGST, I/we would like to state & submit as under:

1. In this regard, I/we hereby declare and affirm that I/we have not obtained registration with the GST Authorities. Accordingly, I/we shall not be entitled to claim any input tax credit on the invoices issued by your company for the goods / services supplied / to be supplied to me/us.

2. I/We also understand that it shall be my/our responsibility to intimate your goodself in future, as and when I/we obtain registration with the GST Authorities, and I/we also agree that any change shall be given effect prospectively & not retrospectively, i.e., I/we shall not request for amendments to invoices issued by you prior to my/our obtaining registration for incorporating our GST details on the said invoices.

3. I/We also understand that quoting of any false information in this declaration shall render me/us liable for all applicable legal and penal consequences, for which I/we shall be solely responsible.

I/We request you to treat this communication as a declaration regarding non-requirement to be registered under the Act.
